Welcome to Xplainity! These Terms of Service (the “Terms”) are a legal agreement between you (referred to as “you” or the “User”) and MATHFIT EDUCATION PRIVATE LIMITED, doing business as Xplainity (referred to as “Xplainity”, “we”, “us or the “Company”). Xplainity is a platform provided by MATHFIT EDUCATION PRIVATE LIMITED, an Indian private limited company (CIN U85491MP2024PTC070824) with its registered office at 39/2 New Palasiya Main Road, Indore, Madhya Pradesh, 452001, India. By accessing or using Xplainity’s website, products, and services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not use the Service.
1. Acceptance of Terms
- Binding Agreement: By creating an account or using any part of our Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy (which is incorporated herein by reference). If you are using the Service on behalf of an organization (such as a school or company), you represent that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization.
- Updates to Terms: We may modify these Terms from time to time, for example to reflect changes in our services or updates in law. We will update the “Last Updated” date above when we do so. It is your responsibility to review these Terms periodically. If we make material changes, we may provide notice (e.g. via email or a notice on our site). Your continued use of the Service after changes have been made constitutes your acceptance of the revised Terms.
2. Eligibility and User Accounts
- Eligibility: You must be legally capable of forming a binding contract to use Xplainity. In general, this means you should be at least 18 years old, or the age of majority in your jurisdiction. If you are under 18, you may use Xplainity only with the involvement and consent of a parent or legal guardian (or, if applicable, under the supervision of an authorized school/institution that has obtained appropriate parental consent). If you are under 13 years of age, do not create an account or use the Service without parental consent and supervision – accounts for users under 13 should be created by a parent, guardian, or an educator who has authority to do so (in compliance with laws like the U.S. Children’s Online Privacy Protection Act). Xplainity does not knowingly collect personal information from children under 13 without such consent (see our Privacy Policy for more details on children’s data).
- Account Registration: To access certain features, you may need to create an account. When registering, you agree to provide truthful, accurate, and complete information, and to keep it updated. You must choose a secure password and keep your account credentials confidential. You are responsible for all activities that occur under your account. If you believe your account has been compromised or accessed without authorization, you must notify us immediately at kshitij.jain@xplainity.com. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.
- Account Use and Security: You agree not to share your account with others. Each user must have their own account. You must not impersonate anyone or use another person’s account at any time without permission. We reserve the right to suspend or terminate accounts that we suspect are being used in violation of these Terms or any applicable law.
3. Permitted Use of the Service
- Service Description: Xplainity provides an educational technology platform (the “Platform”) that may include AI-driven tools, interactive learning content, assessments, and other related services to assist students, instructors, and institutions. The Service is intended for educational and informational purposes.
- License to Use: Subject to your compliance with these Terms, Xplainity grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal institutional purposes. All rights not expressly granted to you are reserved by Xplainity and its licensors. You agree not to use the Service for any commercial purpose other than what is expressly permitted (for example, an instructor or institution may use the platform in their classrooms or internal training, but you may not resell our Service or content without our permission).
4. User Content and Conduct
4.1. User Content Submission: If the Service allows you to create, upload, post, or share content (such as questions, answers, explanations, images, audio, video, text, or other materials – collectively, “User Content”), you retain any intellectual property rights you hold in that content. However, by submitting User Content on Xplainity, you grant Xplainity a worldwide, non-exclusive, royalty-free, perpetual, sublicensable license to use, reproduce, distribute, adapt, modify, translate, create derivative works from, publicly display and perform your User Content solely for the purposes of operating, improving, or promoting the Service. This license enables us to, for example, display your content to other authorized users (if you choose to share it), adapt content to compatible formats, or use excerpts in promotional materials for Xplainity. We will not use your content in a way that violates your privacy rights; see our Privacy Policy for how we handle personal data.
4.2. Responsibility for User Content: You are solely responsible for all User Content that you submit or share via the Service and for the consequences of doing so. By posting any content, you represent and warrant that:
- You have the necessary rights: You own the content or have obtained all necessary rights, licenses, consents, and permissions to legally submit it to the Service and to grant Xplainity the license above.
- No Infringement or Violation: Your content and your use of the Service will not infringe or misappropriate any intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
- Compliance with Laws (Especially for Educators): You will comply with all applicable laws and regulations in relation to the content you upload and how you use the Service. If you are an educator or institution uploading or sharing personal information about students or other individuals, you represent that you have obtained any necessary consents or authorizations (for example, consent from a parent or guardian if required) in compliance with data protection laws (such as COPPA or FERPA in the U.S., GDPR in the EU, or applicable laws in other jurisdictions). You should only provide the minimum personal data necessary for educational use of the Service and ensure you have the legal right to share that data with Xplainity.
- Appropriateness: Your content is appropriate for an educational environment. This means it does not contain anything hateful, harassing, defamatory, obscene, exploitative, or otherwise inappropriate for general audiences (including minors).
4.3. Prohibited Conduct: You agree NOT to engage in any of the following prohibited activities:
- Illegal Activities: Using the Service for any unlawful purpose or in furtherance of illegal activities. You must comply with all local, state, national, and international laws and regulations that apply to your use of the Service.
- Malicious Activities: Uploading viruses, malware, or any other code that could harm the functionality of the Service or other users’ devices; attempting to hack, disrupt, overload (“DDOS”), or interfere with the normal functionality and security of the Service.
- Unauthorized Access: Attempting to gain unauthorized access to any account, computer system, or network connected to the Service (e.g., by bypassing access controls or attempting to discover another user’s password).
- Scraping and Automated Use: Using any automated system (like bots, spiders, or scrapers) to access the Service in a manner that sends more request messages to Xplainity’s servers than a human can reasonably produce in the same period. (The only exception is the use of bona fide public search engines’ indexing for creating searchable indices, which is permitted in accordance with our robots.txt file, if any.)
- Impersonation and Misrepresentation: Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity.
- Harassment or Harm: Posting or transmitting content that is unlawful, defamatory, libelous, threatening, harassing, bullying, or that encourages violence or self-harm.
- Infringement: Posting content that infringes or violates someone else’s rights, including intellectual property rights (e.g., using someone else’s copyrighted material without permission, or posting personal data of others in violation of privacy laws).
- Commercial Exploitation: Exploiting the Service for any commercial purpose not expressly permitted by Xplainity, including advertising or soliciting other users to buy or sell any products or services without our written approval.
Xplainity reserves the right (but is not obligated) to monitor, review, remove, or disable access to any User Content or accounts at our sole discretion, at any time, and without notice, that we deem is in violation of these Terms or harmful to the Service or other users. However, the Company is not responsible for any failure or delay in removing such material. 5. Intellectual Property Rights
- Our Content: The Service (including all content and materials available on or through it, such as software, text, graphics, logos, trademarks, images, videos, audio, and other materials provided by Xplainity, excluding User Content) is the property of Xplainity or its licensors and is protected by copyright, trademark, and other intellectual property laws. Xplainity and its associated logos and names are trademarks of MATHFIT Education Private Limited (or its affiliates). You may not use Xplainity’s name or branding without our prior written consent except as allowed by our brand guidelines (if any) or applicable law.
- Limited Use: You may access and use the content provided through the Service for your personal or educational use, but you may not copy, modify, distribute, perform, or create derivative works from our content without explicit permission. For example, teachers and students may use Xplainity’s provided educational materials for learning and classroom purposes, but they cannot resell Xplainity’s materials or claim them as their own.
- Feedback: If you provide us with feedback, suggestions, or ideas about the Service (“Feedback”), you agree that we can use such Feedback without restriction or compensation to you, and you hereby grant Xplainity a perpetual, irrevocable, sublicensable license to use the feedback in any manner. (This helps us improve our product and avoid potential conflicts if we implement something similar to an idea you suggested.)
6. AI Tools and Accuracy Disclaimer
(This section applies if Xplainity’s services include AI-generated responses, explanations, or other AI-driven features.)
Xplainity may utilize artificial intelligence or machine learning technologies to provide educational content, answers, or assessments. You understand that AI-generated outputs may not always be accurate, exhaustive, or up-to-date. While we strive to improve our AI and provide useful, reliable content:
- No Guarantee of Accuracy: The answers or content generated by our AI (or any automated system) should not be taken as professional advice or absolute truth. AI outputs might occasionally be incorrect, misleading, biased, or incomplete.
- User Discretion: You agree to use your own discretion, critical thinking, and, where appropriate, seek human review or verification of information obtained through the Service. For example, instructors should review AI-generated quiz questions for accuracy and appropriateness before using them in class, and students should verify answers or explanations instead of relying solely on them for important work or decisions.
- No Endorsement: Any reference in the AI’s output to third-party entities (e.g., books, websites, products) does not constitute an endorsement by Xplainity. Likewise, any opinions or statements expressed by the AI do not necessarily reflect the views of Xplainity or its team.
- Continuous Improvement: You acknowledge that Xplainity’s AI features are an evolving technology. We welcome feedback on incorrect or problematic outputs to help us improve the Service. However, Xplainity is not liable for any damages or losses resulting from your reliance on AI-generated information. Use these features at your own risk and always in conjunction with your own judgment and common sense.
7. Payments, Pricing, and Refunds
(This section applies if and when Xplainity offers paid plans or services.)
- Fees: Xplainity may offer certain premium features or subscription plans for a fee. If you choose to purchase any paid Service, you agree to pay the applicable fees and taxes. All payments must be made in the currency and via the payment methods specified (we will provide instructions at the point of purchase).
- Accuracy of Billing Information: You must provide current, complete, and accurate billing and contact information. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms (including charging other payment methods on file, hiring collection agencies, etc.). You agree to pay any costs (including reasonable attorneys’ fees) incurred by us in collecting overdue amounts.
- No Refunds (Unless Required by Law): All purchases are final and non-refundable, except where required by applicable consumer protection laws or as expressly stated by us. We reserve the right to consider refund requests on a case-by-case basis (for instance, in cases of accidental duplicate charges or documented technical issues on our side), but we are not obligated to provide a refund in cases such as unused subscription time or user change-of-mind.
- Free Trials and Changes: Xplainity may offer free trials or free access to certain features for a limited time. We reserve the right to modify the pricing of our services or institute new charges at any time, upon reasonable notice to you (which may be provided by updating our website or sending an email). Any promotional offers or discounts may be subject to additional terms.
- Taxes: Unless stated otherwise, fees are exclusive of taxes and you are responsible for any applicable taxes (e.g., sales, VAT, GST) apart from taxes on our income. If we’re required to collect taxes, we will charge you those taxes in addition to the fees.
8. Third-Party Resources and Links
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Xplainity (for example, links to external educational content, or integration with third-party tools). We provide these links or integrations as a convenience to you, but we do not endorse, monitor, or have control over any third-party content or services.
- Use at Your Own Risk: Any third-party websites or services are governed by their own terms and privacy policies, not these Terms. If you choose to visit or use any third-party links or services, you do so at your own risk. Xplainity is not responsible or liable for the content, availability, accuracy, or practices of third-party sites or services.
- Third-Party Software/Integrations: If Xplainity integrates with third-party software (for example, Google Classroom, learning management systems, or single sign-on services), you may be required to abide by the terms of those third-party providers. Xplainity assumes no liability for any issues arising from such integrations.
9. Privacy
Your privacy is very important to us. Our collection, use, storage, and sharing of personal information is governed by our Privacy Policy (available at the link on our website). By using the Service, you also agree to the terms of the Privacy Policy. We urge you to read it carefully, as it describes what data we collect from you and your users (if you are an educator or institution), how we use and protect that data, and the choices and rights you have regarding your personal information. 10. Data Security and Service Availability
- Security: Xplainity takes reasonable measures to protect the security of your data. We use industry-standard technical and organizational measures (such as encryption for data in transit, secure server infrastructure, access controls, and regular security assessments) to safeguard the Service against unauthorized access, alteration, or destruction of data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security. You acknowledge that you provide data at your own risk. (Please see our Compliance & Data Protection section for more details on our security practices.)
- Service Availability: We strive to keep the Service up and running at all times, but we do not guarantee uninterrupted or error-free operation. There may be occasions when the Service is interrupted for maintenance, upgrades, emergencies, or due to failures of equipment or telecommunications. We will try to give advance notice of any scheduled downtime, but there may be instances (like emergencies) where notice is not possible. Xplainity is not liable for any downtime or loss of data, so please maintain your own backup copies of important content or data that you store on the Service.
11. Disclaimer of Warranties
(“As Is” Clause)
XPLAINITY IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by law, Xplainity disclaims all warranties and conditions, express or implied, regarding the Service and any results obtained from it. This includes, but is not limited to: implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that might arise from course of dealing or usage of trade.
- We do not guarantee that the Service will meet your specific requirements, achieve any intended results, or operate without interruption, or be secure, accurate, complete, or error-free.
- No Advice or Outcomes Guarantee: Any educational or informational content provided via Xplainity (including AI-generated answers or tutoring guidance) is for general informational purposes only. Xplainity does not guarantee any improvement in academic performance or any specific outcomes based on use of the Service. You are solely responsible for how you utilize and interpret the information or tools provided.
- User’s Risk: You agree that your use of the Service (and any reliance on any content obtained through the Service) is at your own risk. You will be solely responsible for any damage to your device or loss of data that results from downloading or using any material through our Service.
If applicable law does not allow the exclusion of certain warranties, then we remain responsible for those warranties only to the extent required by law. In such cases, we limit the duration and remedies of such warranties to the minimum permissible under law.
12. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will Xplainity (MATHFIT Education Private Limited), its officers, directors, employees, agents, partners, or licensors be liable to you or any third party for:
- any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your access to or use of (or inability to use) the Service, or any conduct or content of any third party on or via the Service, or any unauthorized access, use, or alteration of your transmissions or content. This limitation applies even if we have been advised of the possibility of such damages; and
- any direct damages in excess of the amount you paid to Xplainity for the Service in the 12 months prior to the event giving rise to the liability, or USD $100 (one hundred U.S. dollars) (or the equivalent in local currency), whichever is greater. For clarity, if you have not paid any fees to Xplainity in the 12 months period, our maximum liability for direct damages will be $100.
Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, Xplainity’s liability will be limited to the maximum extent permitted by applicable law.
Sole Remedy: If you are dissatisfied with any portion of the Service or with these Terms, your sole and exclusive remedy is to stop using the Service.
13. Indemnification
You agree to indemnify, defend, and hold harmless Xplainity (MATHFIT Education Private Limited) and its affiliates, and their respective directors, officers, employees, contractors, and agents (collectively, the “Indemnified Parties”), from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise out of or relate to:
- Your Use of the Service: any use or misuse of the Service in violation of these Terms or of any law or regulation;
- Your Content: your User Content, including any claim that your content infringes or misappropriates any third-party rights or that it caused damage to a third party;
- Your Violation: your breach of any provision of these Terms or any representation/warranty you provide herein; or
- Your Violation of Rights: your violation of any rights of another person or entity (including intellectual property rights or privacy/publicity rights).
We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), in which case you agree to cooperate with us in defending such matter. You agree not to settle any such matter without the prior written consent of Xplainity. This indemnification obligation will survive any termination or expiration of these Terms and your use of the Service.
14. Termination and Suspension
- By User: You may stop using the Service at any time. You may also delete your account by following the instructions on the platform or contacting us at kshitij.jain@xplainity.com. Deleting your account will terminate your rights to access the Service, but sections of these Terms that by their nature should survive (such as intellectual property, indemnification, disclaimers, and limitations of liability) will continue to apply even after account deletion.
- By Xplainity: We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at our sole discretion, with or without notice, if we believe that: (a) you have violated these Terms or any applicable law; (b) you pose a security, legal, or operational threat to us or to other users; or (c) you cease to operate or declare bankruptcy (in the case of an organization). We may also terminate the Service or any portion of it, or discontinue any feature, for all users with notice (for example, if we decide to retire a product or feature).
- Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your account and data, or retain certain data as required or permitted by law or our Privacy Policy. We will have no liability to you or any third party for termination of your account or blocking of your access to the Service. If you believe your account was suspended or terminated in error, you can contact us to appeal, but we make no guarantee of reinstatement.
15. Governing Law and Dispute Resolution
- Governing Law: These Terms and any disputes arising from or relating to the Service or these Terms will be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. However, we respect applicable consumer protection laws and data protection laws of the country in which you reside, if those laws are deemed applicable and cannot be waived by contract.
- Jurisdiction: Subject to any dispute resolution mechanism below, you agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts of competent jurisdiction located in Indore, Madhya Pradesh, India. You consent to the personal jurisdiction of such courts and waive any objection on grounds of venue or inconvenient forum.
- Arbitration (if applicable): At our sole discretion, we may require any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service that cannot be resolved through negotiation to be submitted to binding arbitration in Indore, India, in the English language, under the rules of the Indian Arbitration and Conciliation Act, 1996. In such case, the arbitrator’s award will be final and may be entered in any court of competent jurisdiction. Each party shall bear its own costs of arbitration, and share the arbitrator’s fees equally, unless the arbitrator decides otherwise. Importantly, by agreeing to arbitration, you understand that you are waiving certain rights (like a jury trial or the ability to join a class action). If you do not agree to this arbitration clause, you must not use the Service. (This arbitration clause does not apply to users residing in jurisdictions that do not permit mandatory arbitration of consumer disputes, so some of this section may not apply to you.)
- Injunctive Relief: Notwithstanding the above, either party may seek interim or injunctive relief in any court of competent jurisdiction if necessary to protect their rights or property while an arbitration or legal action is pending.
16. Miscellaneous
- Entire Agreement: These Terms (along with the Privacy Policy and any additional guidelines or terms provided for specific services or features) constitute the entire agreement between you and Xplainity concerning the Service, and supersede all prior agreements, proposals, or communications (oral or written) relating to your use of the Service. Any additional or varying terms provided by you (for example, in an email or purchase order) are void and of no effect unless agreed to in a written amendment signed by an authorized representative of Xplainity.
- No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Xplainity.
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent allowed by law, or if it cannot be modified, then severed from these Terms.
- No Agency Relationship: You agree that no joint venture, partnership, employment, or agency relationship exists between you and Xplainity as a result of these Terms or your use of the Service. You are using the Service as an independent party, and nothing in these Terms shall be construed as creating an employer-employee relationship, agency, franchise, or partnership.
- Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms (in whole or in part) as part of a merger, acquisition, sale of assets, or by operation of law or otherwise. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
- Force Majeure: Xplainity will not be liable for any delay or failure to perform its obligations hereunder if such delay or failure arises from any cause or causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, civil unrest, supply or transportation shortages, embargoes, governmental actions, or power/internet outages.
- Headings: Section titles or headings in these Terms are for convenience only and have no legal or contractual effect.
