Intellectual Property Policy

Effective Date: October 27, 2025

Introduction: This Intellectual Property Policy (“Policy”) outlines the ownership and use of intellectual property related to the Xplainity platform, including content, software, AI models, and user submissions. It is issued by Mathfit Education Private Limited (“Mathfit” or “Company”), the owner and operator of the Xplainity platform. By using Xplainity, you agree to respect the intellectual property rights of the Company and third parties, and to adhere to this Policy.

Ownership of Platform Content and Technology

  • Company Proprietary Materials: All content and materials provided through Xplainity are the property of Mathfit Education Private Limited or its licensors, unless otherwise indicated. This includes, but is not limited to, the software code, algorithms, design, user interface, databases, documentation, and the AI models (including proprietary in-house models and any integrated foundation models). These materials are protected by intellectual property laws (copyright, trade secret, patent, etc.). Mathfit retains all rights, title, and interest in the Platform and its components. Your use of Xplainity does not grant you any ownership over these proprietary materials or intellectual property.
  • AI Models and Technology: Xplainity utilizes advanced AI models and services, some of which are developed in-house by Mathfit and others which are licensed from third-party providers (such as Google’s Gemini, OpenAI’s models, Meta’s Llama, among others). All AI algorithms, models, and outputs generated by them remain the intellectual property of Mathfit or the respective third-party providers. Users are granted a limited, revocable right to use the outputs of these AI models only for their intended purpose within the Platform (e.g., for educational assessment feedback). You may not reverse-engineer, extract, copy, or misuse the AI models or their outputs beyond what is allowed by the Platform’s functionality.
  • Trademarks and Branding: Xplainity, the Xplainity logo, and all related names and marks are trademarks or service marks owned by Mathfit Education Private Limited. The Company’s name and logos, as well as product and service names associated with Xplainity, are protected by law. You are not permitted to use these trademarks without the prior written consent of Mathfit. All third-party trademarks (such as “Google”, “OpenAI”, “Llama”, or others mentioned on the Platform) are property of their respective owners and are used on the Platform for identification purposes only. Use of those marks on Xplainity does not imply any endorsement or license beyond the terms provided by those third parties.

User-Generated Content

  • Your Submissions: Xplainity may allow instructors and students to input or upload content, such as questions, answers, documents, audio responses, or other materials as part of the assessment process (“User Content”). You retain any intellectual property rights you hold in the content that you create and submit to the Platform. Mathfit does not claim ownership of your original works (for example, a student’s spoken answers or an instructor’s questions remain their own intellectual property).
  • License to the Company: By submitting or uploading User Content on Xplainity, you grant Mathfit Education Private Limited a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, transcribe, adapt, translate, and display that content as necessary to operate the Platform and provide the service. This license is solely for the purpose of allowing Xplainity to function (for example, processing speech to text, evaluating answers, storing assessment records, or generating reports for instructors). Mathfit will handle all User Content in accordance with our Privacy Policy and applicable data protection laws (e.g., GDPR, DPDP). We will not use your content for marketing or outside purposes without your consent.
  • Prohibited Content: You must not upload or submit any content to Xplainity that infringes anyone else’s intellectual property or other rights. This means you should only provide content (such as exam questions, prompts, or reference materials) that you have the right to use. If you use third-party materials (e.g., excerpts from textbooks or articles) as part of an assessment, you must ensure such use is lawful (for example, under an educational fair use exception or with permission from the owner). The Company is not responsible for verifying the ownership of User Content; you are solely responsible for the content you provide and for any consequences if you submit infringing materials.

Use of Third-Party APIs and Content

  • Third-Party Integrations: As noted, Xplainity integrates certain third-party services and APIs — including but not limited to LiveKit for video conferencing, Google’s Text-to-Speech/Speech-to-Text for audio processing, and AI foundation models from providers like Google, OpenAI, and Meta. Mathfit has obtained the necessary rights and licenses to use these services within the Platform. However, users of Xplainity must also comply with any relevant terms of use of these services. For instance, by using Xplainity you also agree not to misuse Google’s services as per Google’s API policies, or OpenAI’s content in ways that violate OpenAI’s usage policies.
  • No Extraction or Reuse: Users are not permitted to extract, data-mine, or otherwise separate the content or output of third-party services from the Platform for independent use. Any audio, text, or data obtained through Xplainity’s use of third-party APIs is provided for the sole purpose of the intended educational interaction. For example, you may not capture audio from the Platform’s text-to-speech output to create your own dataset, nor may you reuse transcripts generated by the Platform’s AI outside of the context of the assessment without permission.
  • Respect for Third-Party IP: Any intellectual property belonging to third-party providers (such as the voices from a TTS engine, or the knowledge base of an AI model) remains their property. You may not attempt to replicate or create derivative works from these elements. Mathfit will enforce this Policy and cooperate with its partners to prevent any infringing use of third-party intellectual property via Xplainity.

Protection of Intellectual Property & Reporting Infringement

  • Platform Protection: Mathfit employs technical measures to protect its intellectual property and that of its partners. This includes access controls, encryption, and monitoring for unauthorized use. Any attempt to circumvent these measures (for example, attempting to download platform code or scrape large amounts of content) is a violation of this Policy and of the Terms of Use.
  • Your Feedback: If you provide any feedback, ideas, or suggestions to improve Xplainity, you acknowledge that Mathfit may use such feedback without obligation to you. Any enhancements or modifications to the Platform based on your suggestions are owned by Mathfit. You will not have any intellectual property claim in improvements that are implemented by the Company.
  • Infringement Claims: Mathfit respects the intellectual property rights of others and expects users to do the same. If you believe that content on the Xplainity Platform (including any User Content or Company-provided content) infringes your copyright or other intellectual property rights, please notify us at kshitij.jain@xplainity.com. In your notice, include your contact information, identification of the work you claim is infringed, identification of the content you believe is infringing (with URL or description), and a statement of your good faith belief that the use is not authorized. For copyright complaints (for example, under the U.S. Digital Millennium Copyright Act - DMCA), you may also include an affirmation that the information in your notice is accurate and that you have the authority to act on behalf of the rights owner. Upon receiving a proper infringement notice, we will promptly investigate and, if appropriate, remove or disable access to the allegedly infringing material and notify the affected user. Repeat infringers’ accounts may be terminated at our discretion.
  • No Warranty for Third-Party Content: Content on the Platform may include information or materials provided by third parties or generated by AI. While we endeavor to use only properly licensed and lawful sources, the Company cannot guarantee that all such content is free from claims of infringement or error. The Platform and all content are provided on an “as is” basis. (See Terms of Use for additional warranty disclaimers.) Users use content from Xplainity at their own risk and should report any suspected issues to us.

Changes to This Policy

Mathfit Education Private Limited reserves the right to update or modify this Intellectual Property Policy at any time. If we make significant changes, we will provide notice by updating the “Effective Date” above and, if appropriate, by other means (such as a notice on our website or platform interface). Your continued use of Xplainity after any modifications to this Policy constitutes acceptance of those changes.
